These Terms of Service govern your access to www.wdhaca.shop and services provided by WDH ACADEMY LLC. By using our Site or Services, you agree to be bound by these Terms. WDH ACADEMY LLC is organized under Ohio law, 6545 MARKET AVE N STE 100 CANTON, 44721 UNITED STATES.
We provide computer systems design and integrated systems design. Specific scope is defined in statements of work executed by both parties.
Upon payment, we assign Deliverable rights excluding our Background IP. Site content is our property. We grant a non-exclusive license to Background IP incorporated in Deliverables.
Fees in USD per statement of work. Invoices due within 30 days. Late payments incur 1.5% monthly interest. You are responsible for applicable taxes.
Both parties maintain confidentiality of disclosed information. Confidential Information is used solely for this Agreement and protected with reasonable care.
We warrant professional performance and 90-day Deliverable conformance. EXCEPT AS STATED, SERVICES ARE "AS IS" WITHOUT WARRANTIES.
Neither party is liable for indirect or consequential damages. Total liability capped at fees paid in the prior 12 months. Exceptions for confidentiality breaches and IP infringement.
We indemnify you against IP infringement claims for our Deliverables. You indemnify us for claims from your violation of these Terms.
Either party may terminate a SOW on 30 days' notice. Immediate termination for uncured material breach.
Ohio law governs. Disputes go to 30-day negotiation then binding arbitration in Canton, Ohio.
You agree not to violate laws, upload harmful content, attempt unauthorized access, or transmit malicious code.
We are not responsible for third-party content linked from our Site.
Neither party is liable for delays beyond reasonable control. 60-day limit allows termination.
This Agreement supersedes all prior agreements. Invalid provisions do not affect remaining terms.
We may modify Terms. Changes effective upon posting. Material changes notified 15 days in advance.
